1. Introduction and Acceptance

Welcome to Darling mgmt. By creating a user account, logging in, or otherwise using the platform (hereinafter referred to as the "Service" or "Platform"), which includes features for lead management, calendar, invoicing, and integrated AI assistants, you accept and agree to be bound by these Terms of Service and Privacy Policy. If you do not accept these terms, you must immediately cease all use of the Platform.

2. Scope of the Service

Modules: The Platform provides tools for lead administration, calendar management, invoicing, and an AI assistant designed to automate and execute administrative tasks.

Modifications to Service: Darling mgmt reserves the right to modify, suspend, or terminate all or part of the Service at any time without notice.

3. Disclaimer of Liability

"As Is" Basis: The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Darling mgmt expressly disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Damages: Darling mgmt, its owners, employees, partners, or subcontractors shall under no circumstances be held liable for any direct, indirect, incidental, special, or consequential damages (including, but not limited to, loss of profits, loss of data, business interruption, loss of revenue, or reputational damage) arising out of or in connection with the use of or inability to use the Service.

Errors and Inaccuracies: Darling mgmt does not guarantee that the platform will be free of errors, interruptions, viruses, or security breaches, or that data stored or processed will be accurate or secure at all times.

4. AI Assistant and Automated Tasks

User's Sole Responsibility: The AI assistant in Darling mgmt is intended solely as a support tool. The user is solely responsible for reviewing, checking, verifying, and approving all work, text, data, calculations, and actions executed or generated through the AI assistant.

No Guarantee of AI Output: Darling mgmt disclaims all liability for errors, misleading information, non-compliance with regulations, or financial losses arising from AI-generated decisions or tasks. The user bears all risk associated with automated execution.

5. Leads, Calendar, and Invoicing

Lead Management: The user is solely responsible for ensuring that the collection, storage, and processing of leads comply with applicable data protection laws (GDPR) and marketing regulations. Darling mgmt assumes no responsibility for the quality of leads or transactions resulting from them.

Calendar: Darling mgmt does not guarantee time accuracy, synchronization errors, or loss of appointments in the calendar module.

Invoicing: The user is fully responsible for ensuring that invoices generated through the platform comply with national accounting and tax guidelines (including bookkeeping legislation). Darling mgmt disclaims all liability for incorrect invoice amounts, VAT calculations, or payment defaults.

6. Privacy and GDPR

Data Controller Status: For personal data entered into the system by the user (e.g., customer information and leads), the user acts as the data controller, and Darling mgmt acts as the data processor.

Collected Data: We collect necessary account information (name, email, company details, and payment information) to establish and manage your access to the Service.

Your Rights: Pursuant to GDPR, you have the right to access, rectify, erase, and port your personal data. Inquiries regarding this should be directed to support.

Security: We implement reasonable technical and organizational measures to protect data, but do not guarantee absolute security against unauthorized data breaches.

7. Intellectual Property

All rights to the platform, source code, design, trademarks, and underlying technology belong entirely to Darling mgmt. The user is granted a limited, revocable, non-exclusive right to use the platform in accordance with this agreement.

8. Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with Norwegian law. Any disputes arising out of these terms shall first be attempted to be resolved amicably. If unsuccessful, the user agrees to the jurisdiction of Oslo District Court.
